TERMS OF ENGAGEMENT

PAYMENT TERMS

1. 50% advance payment or 100% payment of the agreed fee shall be invoiced upon receipt of the signed quotation and payment must be received before the first engagement can take place. Any balance plus additional fees, charges or expenses (except as specified below) is payable upon completion or other termination of the agreement.

2. Any expenses for flights, hotel, per diem and transport to venues including client's office, shall be agreed with the client and invoiced accordingly for immediate reimbursement.

3. We offer a Paypal and credit card payment options. If the client elects to pay by credit card a surcharge of 4% is payable and will be added to the final bill payment (i.e. final balance will be outstanding amount plus 4% of the total quotation).

4. Any charges for psychometric or other assessments, reference and other materials, or additional training shall be agreed with the client and invoiced for payment in accordance with these terms. Assessments will only be ordered once full payment has been made.

SESSIONS

5. The session(s)/program/workshop/speaking engagement will be conducted by face-to-face, zoom or videoconference as agreed with the client. The costs to the client will be borne by the client.

CANCELLATION AFTER SIGNED ACCEPTANCE OF THIS AGREEMENT (Non-Coaching Services) 

6. If cancellation is made more than 28 days from Commencement of Service, a 10% cancellation fee is payable unless all parties can in good faith reschedule the Commencement of Service at a mutually agreeable date within a reasonable timeframe. The deposit will be refunded minus the cancellation fee and any non-refundable expenses already incurred (including any cancellation charges imposed by previously confirmed 3rd party Talents who are unable to reschedule on the chosen date).

7. If cancellation is made between 8 to 28 days from Commencement of Service, a 75% cancellation fee is payable and the deposit will be retained by Angela Foulds Ltd unless all parties can in good faith reschedule the Commencement of Service at a mutually agreeable date within a reasonable timeframe. The deposit will be refunded minus the cancellation fee and any non-refundable expenses already incurred (including any cancellation charges imposed by previously confirmed 3rd party Talents who are unable to reschedule on the chosen date). Else, Angela Foulds Ltd will retain the deposit in its entirety as a cancellation fee.

8. If cancellation is made within 7 days of commencement of service, a 100% cancellation fee is payable and no rescheduling is allowable. Angela Foulds Ltd will retain the deposit in full and the client will be invoiced for the full balance of fees payable plus any non-refundable expenses incurred.

9. If (as applicable) our Quotation has been priced and accepted on a ‘per participant’ basis, no refund or credit will be given for participants who do not show up.

INTELLECTUAL PROPERTY 

10. All intellectual property in the materials used or provided by Angela Foulds Ltd and/or associates remains with Angela Foulds Ltd or other acknowledged sources. No right to reproduce the materials in any form (except for participants' personal use) shall transfer to the client.

11. This quotation is valid for 7 days.
